Welcome to PlasticWAY! These Terms and Conditions ("Terms") govern your access to and use of PlasticWAY’s cloud-based SaaS solution and associated services ("Services"). By using our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

“Subscription”: Refers to the license to access and use the Services for a defined period.

2. Acceptance of Terms

By creating an account, accessing, or using the Services, you:

Represent and warrant that you have the authority to bind the entity you represent to these Terms.

3. Services and Subscriptions

3.1 License to Use

PlasticWAY grants you a non-exclusive, non-transferable, revocable license to use the Services during the term of your Subscription, subject to these Terms.

3.2 Subscription Plans

Access to the Services requires a valid Subscription.
Subscription details, including pricing and duration, are outlined at the time of purchase.

3.3 Modifications

We may update or modify the Services to improve functionality. You agree that such updates may affect access temporarily or permanently.

3.4 Service Availability

While we strive to provide uninterrupted access, we do not guarantee the Services will always be available, error-free, or secure.

4. User Obligations

4.1 Account Security

You are responsible for maintaining the confidentiality of your login credentials.
You must notify us immediately if you suspect unauthorized use of your account.

4.2 Acceptable Use

You agree not to:

Use the Services for unlawful purposes.
Reverse-engineer, decompile, or disassemble any aspect of the Services.
Interfere with or disrupt the functionality of the Services.
Upload malicious software, such as viruses or malware.

4.3 Data Responsibility

You are solely responsible for the accuracy, quality, legality, and use of the data you upload to the Services.
You grant PlasticWAY a non-exclusive license to process your data to provide the Services.

5. Fees and Payments

5.1 Payment Terms

Subscription fees are due in advance unless otherwise agreed.
Payments are processed through secure third-party providers.

5.2 Taxes

Fees are exclusive of taxes unless stated otherwise.
You are responsible for any applicable taxes related to your use of the Services.

5.3 Late Payments

Failure to pay on time may result in suspension or termination of access to the Services.

6. Intellectual Property

6.1 Ownership

PlasticWAY retains all rights, titles, and interests in and to the Services, including underlying software, designs, trademarks, and logos.
Your use of the Services does not grant ownership of any intellectual property rights.

6.2 User Content

You retain ownership of data uploaded to the Services.
By submitting data, you grant us the rights necessary to provide the Services.

7. Confidentiality

Both parties agree to keep confidential information shared during the course of the agreement private and not disclose it to third parties, except as required by law or with prior written consent.

8. Data Privacy

Your use of the Services is subject to our Privacy Policy. By using the Services, you agree to the collection, processing, and storage of data as described in the Privacy Policy.

9. Term and Termination

9.1 Term

These Terms remain in effect for as long as you use the Services or maintain an active Subscription.

9.2 Termination by You

You may terminate your Subscription at any time, but no refunds will be issued for the unused portion.

9.3 Termination by Us

We may suspend or terminate your access if you:

Violate these Terms.
Fail to pay Subscription fees.
Engage in activities that harm the Services or our business.

9.4 Post-Termination Obligations

Upon termination, you must cease all use of the Services. We will retain your data for a limited period as per our data retention policy.

10. Limitation of Liability

To the fullest extent permitted by law:

PlasticWAY is not liable for indirect, incidental, or consequential damages.
Our total liability is limited to the amount you paid for the Services in the 12 months preceding the claim.

11. Warranties and Disclaimers

11.1 Warranties

We provide the Services "as is" and "as available." While we strive to ensure reliability, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

11.2 User Acknowledgment

You acknowledge that the Services depend on third-party infrastructure and the availability of the internet.

12. Indemnification

You agree to indemnify and hold PlasticWAY harmless from any claims, losses, or damages arising from:

Your breach of these Terms.
Your use of the Services.
Your data or content hosted on the Services.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of New Delhi, India, without regard to its conflict of law provisions.

14. Dispute Resolution

In the event of a dispute:

Both parties agree to resolve the matter amicably through negotiation.
If unresolved, disputes will be referred to arbitration in New Delhi, India.

15. Changes to Terms

PlasticWAY reserves the right to modify these Terms. Changes will be notified via email or platform updates. Continued use of the Services after modifications constitutes your acceptance.
